Role Description - Councillor of InternetNZ

InternetNZ has responsibility for managing the .nz delegation for the Internet in New Zealand and then globally and has a set of Internet related Objects laid out in the Constitution.

The Council of InternetNZ is the governing body of the Society. The role of Councillor of InternetNZ is that of a Director of a not-for-profit organisation. Council is subject to the Constitution of InternetNZ so in addition to any tasks laid out here, each Councillor is required to carry out any responsibilities, either individually or collectively, as additionally defined in the Constitution of the Internet Society of New Zealand.

Councillors are therefore required to carry out their function within this framework. Councillors are obliged to act in the best interest of the Society and to assist the Society in meeting its Objects as laid out in the Constitution. Council participates in building the Strategic direction of the Society which is adopted once presented to the Members.

Councillors are expected to conform to the Society's Code of Ethics and to respect all Council decisions.

Councillors are elected by the Members of the Society at the AGM. Councillor term of office is two years.

Councillors are expected to attend the regular meetings of Council which occur throughout the year. Councillors are not permitted to miss three consecutive meetings. Please see section Clause 6.5.1. of the Constitution.

All Councillors are expected to participate in the work of the Society. Participation means, but is not limited to, participation in one or more Standing Committees and or Task Forces of the Council in addition to attending Council meetings. Councillors wishing to participate in the work of a Standing Committee or Task Force should make an application to the Chair of that committee. If the Chairperson agrees to the Councillor’s inclusion the Chairperson will so recommend to Council which is required to confirm the position.

The role of Councillor takes up a approximately 1 day a month and can exceed 5 hours a week. On top of a moderate amount of e-mail correspondence Councillors have the following minimum regular meetings each year:

  • Six full day Council Meetings
  • At least one other half day sub-group meeting per two months
  • The AGM

Note it is estimated that preparation time for meetings, for a person to be effective, is at least one hour of preparation for each hour of meeting and if you are the meeting chair at least 1.5 hours preparation per hour of meeting.

The Council By-Laws of InternetNZ concern the conduct of Council meetings. All Councillors are obliged to respect the By-Laws.
