Role Description
President of InternetNZ

The role of the President of InternetNZ is that of the Chair of a Board of Directors in that s/he is responsible for leading the Council in its Governance and Strategic Work to meet the Aims and Objectives of the Society. In addition to any tasks laid out here, the President is required to carry out any responsibilities specifically defined in the Constitution of the Internet Society of New Zealand.

The President is elected by the Members of the Society. The Term of Office of the President is two years. The President is a signatory of the Society.

The President can, at his/her discretion, call meetings of the Society, with the restraints imposed by the Constitution and Council Bylaws.

Specific Responsibilities
1. The President is Chair of the Executive Committee

  • Set Agenda for meetings in consultation with the Secretary, Executive Committee and the Executive Director

2. Strategic Leadership

  • Lead Council thinking on Policy Development and Future Directions
  • Lead Council in its Governance Role for the Society
  • Lead Council thinking on the Strategic Plan
  • Annual Business Plan - contribute to the work of the Executive Director

3. Act as the Chair of all General Meetings of the Society.

4. The President, with the Executive Committee, will manage the contract of the Executive Director. This includes:

  • Acting as support person to the Executive Director
  • Negotiating, in the first instance, any variations to contract provisions
  • Undertaking the bi-annual Performance Review of the Executive Director's contract in consultation with the Executive Committee
  • Approving Performance Pay on behalf of Council if Performance Review is satisfactory
  • Working with the Executive Director to achieve any performance improvements required from the Performance Review

5. For Council Meetings

  • The President is bound by, and will uphold, the Council Bylaws of InternetNZ
  • Set Agenda for meetings (in consultation with the Secretary, Executive Committee and the Executive Director)
  • Chair all meetings

6. Council Sub Groups - Standing Committees and Task Forces

  • The President is responsible for ensuring that the correct Standing Committees and Task Forces are in place to enable the work of the Society to be carried out. The president therefore will:
    • Recommend establishment/dis-establishment of Council Committees
    • Establish/dis-establish Task Forces
    • Nominate Chairs of Committees and Task Forces to Council
    • Monitor work of Committee Chairs and Task Force Chairs
  • The President is an ex-officio member of all Council Committees and Task Forces, with the exception of the Audit Committee.

7. Communications - Internal

  • Consult with Executive Director on areas of internal communications
  • Consult with Committee Chairs/Task Force Chairs if changes to work areas desired

8. Submissions and Correspondence

  • Co-ordinate production of submissions based on outcomes of Task Forces/Committees
  • Sign official InternetNZ correspondence when appropriate

9. Reporting

  • Written reports to Council Meetings
  • InternetNZ Chair report
  • Written report to AGM of the Society on behalf of Council
  • Written reports on any meetings/conferences attended on behalf of InternetNZ, especially International
  • Supply copies of all reports to Office in electronic format

10. Representation
a) International

  • Representation of InternetNZ may be required at international fora

b) National

  • Representation of InternetNZ may be required at national fora

11. Honorarium

  • An Annual Honorarium, at a level agreed by the Council, will be paid quarterly.

12. The role of President takes up a minimum of a day a week and can exceed 20 hours a week. On top of considerable e-mail correspondence the President has the following minimum regular meetings each year:

  • Six to ten full day Council Meetings (as Chair)
  • Eleven half day Executive Committee Meetings (as Chair)
  • Six half day .nz Oversight Committee Meetings
  • Weekly meetings (can be by phone) with Executive Director
  • At least one other half day sub-group meeting per month

Note it is estimated that preparation time for meetings, for a person to be effective, is at least one hour of preparation for each hour of meeting and if you are the meeting chair at least 1.5 hours per hour.
