Report of the Administration Committee

Domainz Directors Fees

Following a resolution of Council at the Masterton Meeting,

  • "THAT the Admin Committee be empowered to approve a change in Domainz Director's fees in line with the Institute of Directors scale of recommendations"

the Administration committee reviewed a paper prepared by David Bain, which recommended that non-executive directors' remuneration should be lifted from 6,000 to 8,000 pa and that the chair's fee be increased from 6,000 to 9,500; total directors' fees from $30,000 to $41,500.The paper is based on information provided by the Institute of Directors.

In accordance with the Council motion, Administration committee is accordingly recommending to the Domainz Board that the new fees apply from the date of the 1999 Domainz AGM.

Recommendations for Honoraria, Chair, Treasurer, Secretary and for Committee Chairs

At present the Secretary and Treasurer receive honoraria of $5,000 pa and the Chair $8,000 pa. Committee Chairs receive no honoraria despite often carrying a heavy load.The Masterton Council meeting asked the Administration Committee to investigate honoraria, with a view to the Chair receiving a substantial increase.

The Administration Committee recommends to Council that in line with discussions at the Strategic Planning Weekend the following adjustments be made to the levels of honoraria paid by the Society:

  • the Secretary's honorarium be removed (currently $5000 p/a) [NB The Secretary is also the Chair of the Admin Committee];
  • the Treasurer's honorarium be reduced to $3000 p/a (currently $5000);
  • that Committee Chairs receive an honorarium of $3000 p/a, subject to performance assessment (currently zero);
  • the Chair's honorarium be increased to $20,000 p/a (currently $8,000);
  • if a Councillor holds two positions s/he will receive only one honorarium, and Working Group Convenors do not receive an honorarium".

The Budget will have to be amended accordingly as this will result in $17,000 of unbudgeted expenditure.
