External Representation Policy Draft - December 2005

InternetNZ is a member of, or has representation on, several external bodies. The process of considering appointments and candidates for external governance roles has been relatively ad hoc.

This paper proposes a consistent process for considering our external representation. External representation can take two forms. The first is deciding who will represent InternetNZ in its role as a member of an external organisation. The second is deciding whether to have InternetNZ nominate one of its members as an officer or member of a governance body of an external organisation.

The default representative, in the absence of a decision for it to be somebody else is the Executive Director.

It is proposed that the President, after consultation, shall recommend to the first Council meeting after the AGM representatives to all external organisations, and that where no recommendation is made it shall be the Executive Director.

Decisions on nominations for governance positions are slightly more complex as one has to consider whether we wish to nominate anyone at all, whether we are likely to be successful with any nominee, and what our level of involvement is in such an organisation.

Each external organisation will have its own timetable for elections. The secretariat is asked to compile a directory of these and to notify Council two months prior to the formal opening of nominations for each organisation.

The President shall call for interested persons to notify him or her of their interest is standing for election to an external board or governance body. Such notifications to be sent in no later than six weeks before the formal calling of nominations for that body.

The President shall them notify either Council, or the relevant sub-group of Council, of the interested persons for Council, or that sub-group, to decide whether to nominate a candidate, and if so whom. This decision should be made no later than two weeks prior to the official opening of nominations.

It is proposed that the Secretariat and the President be asked to take responsibility for co-ordinating nominations for governance roles in external organisations, so that Council and/or its subgroups can make considered nominations.
