Letter of Intent University of Waikato 12/12/96

INFORMATION AND TECHNOLOGY SERVICES

Dear Mark,

The University of Waikato (UoW) has been providing services to the Internet Society of New Zealand Inc. (ISOCNZ) for the operation of the Internet Domain Name System (DNS) since July 1996. At that time, ISOCNZ took over responsibility for administering the DNS, but has continued to rely on UoW for providing technical services, the use of its equipment, database management and the management of billing and collecting fees.

A draft contract between UoW and ISOCNZ has been under discussion since July. This contract remains in draft form, yet provides a basis upon which services are presently delivered, except as otherwise agreed. ISOCNZ has agreed to pay for those services, while they continue to be provided, on the basis set out in the Schedule attached to this letter.

ISOCNZ wishes to record in a written agreement the services which will be provided to it by UoW, the fees payable, the duration and the other conditions relating to the provision of those services. ISOCNZ intends to prepare a draft Agreement which will reflect the anticipated developments in the service which is provided to Internet users and the role of ISOCNZ and those who provide services to it.

This letter is to record that:

a. ISOCNZ desires UoW to continue providing services as it does at present, until the parties have reached agreement on some alternative arrangement;

b. ISOCNZ will continue to pay fees to UoW for the provision of services on the same basis as at as presently set out in the Schedule, until the parties agree on alternative arrangements;

c. the parties may agree at any time to modify those arrangements;

d. either party may at any time terminate the provision of any particular service, or the termination of all services under this arrangement, by giving to the other party two months notice in writing of intention to terminate, with details of the services which are to be terminated.

ISOCNZ wishes to develop an arrangement with UoW, and other providers of similar services, which will incorporate a fair definition of the relevant services and the required levels of performance. It should also provide for monitoring the effectiveness of those services and identifying any ways in which ISOCNZ can improve the service which it provides to its customers.

ISOCNZ expects to submit to UoW some further information, including a draft Agreement, to reflect its intentions. We expect to provide that draft documentation no later than 28 February 1997.
