TERMS OF REFERENCES FOR COMMITTEES
The following terms and references are proposed to Council for its Standing Committees
Administration Committee
Responsibilities:
- Operational matters, finance, meeting organisation, staffing issues, liaison with other organisations, communications
Powers:
- Delegated power to resolve all staffing issues except appointments and dismissals and changes in salaries in which case it recommends to Council.
- Power to approve expenditure of up to $5,000.
- General delegated power to act on behalf of Council in emergency situations where a quorum for Council can not be found in time.
- To approve budgeted expenditure for Committee
Legal and Regulatory Committee
Responsibilities:
- Legal issues, political issues.
Powers:
- To create working groups in consultation with President
- To approve submissions to Government and Parliament on appropriate legislation
- To approve budgeted expenditure for Committee
Outreach Committee
Responsibilities:
- Responsible for seminars, public meetings, education issues, and ThinkQuest co-ordination.
Powers:
- To create working groups in consultation with President
- To arrange appropriate seminars, meetings and conferences within the allocated budget
- To approve budgeted expenditure for Committee
International Affairs Committee
Responsibilities:
- Responsible for all international issues including but not restricted to ICANN.
Powers:
- To create working groups in consultation with President
- To propose policy positions on international issues
- To recommend which international bodies or groupings InternetNZ should belong to
- To approve budgeted expenditure for Committee (domestic expenses only)
Technical Committee
Responsibilities:
- Responsible for all technical issues, especially those relating to the dot nz domain name system.
Powers:
- To create working groups in consultation with President
- To propose policy on technical issues
- To be an advisory group to the Office of the DNC on technical issues
- To approve budgeted expenditure for Committee
Governance and Constitutional Committee
Responsibilities:
- To reflect on the nature of the governance process and the governance/management split in InternetNZ and to suggest reforms where appropriate.
- To examine and monitor the operation and implementation of the Constitution of InternetNZ.
- To propose reforms to the Constitution as issues arise.
- To accept from Council and Members specific topics to be examined as requested.
- To give Council guidance in case of disputes concerning interpretation of aspects of the Constitution.
- To reflect on, and monitor, the developing relationships between Council, NZOC, and InternetNZ subsidiary companies.
Powers:
- Report to Council on governance issues including any suggested changes
- Report to Council and Members on Constitutional matters
- Determine and spend up to that level an annual budget as agreed by Council.
Audit Committee
Responsibilities:
- To receive the annual management report of the external auditors, and recommend changes as necessary to operations
- To review at least annually internal financial controls
- To ensure internal audit policies are complied with, by way of random checks
- To be available for any staff member or volunteer to approach in confidence on any financial issue which doesn't conform to best practice
Powers:
- Any member of the committee has direct access to the external auditor
- Report to Council on any issue within its responsibilities
- Determine and spend up to that level an annual budget as agreed by Council.
It is recommended that Council
- Approve the terms of references for the committees
- Ask each Committee to consider any desired changes, with these to be reported back by the next Council Meeting
